1. Acceptance of Terms
By accessing or using Meter ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.
2. Description of Service
Meter provides a piano practice platform that analyzes MIDI input to provide real-time feedback, performance metrics, and practice analytics. The Service includes but is not limited to exercise detection, finger-level analysis, timing feedback, and progress tracking.
3. User Accounts
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
If you are under 13 years of age, you must have parental consent to create an account and use the Service.
4. Subscription and Payment
Meter offers a 7-day free trial period. After the trial period, continued access to the Service requires a paid subscription. By subscribing, you agree to:
- Pay all applicable subscription fees
- Provide current and accurate payment information
- Automatic renewal of your subscription unless cancelled prior to renewal
We reserve the right to change subscription pricing at any time, with notice to active subscribers. Refunds are provided at our discretion and in accordance with applicable law.
5. User Content and Data
You retain ownership of all MIDI data, recordings, and other content you upload to the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:
- Store, process, and analyze your User Content to provide the Service
- Use aggregated, anonymized data to improve our services and machine learning models
- Display your practice data and analytics to you through the Service
You are responsible for your User Content and must ensure you have all necessary rights to upload it to the Service.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit any harmful code or malicious software
- Violate any applicable laws or regulations
- Share your account credentials with others
- Use automated systems to access the Service without permission
7. Intellectual Property
The Service, including all content, features, functionality, software, algorithms, and machine learning models, is owned by Meter and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without explicit written permission.
8. Disclaimers and Limitations of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL.
Meter is a practice tool and does not replace professional music instruction. We make no guarantees about the accuracy of our analysis or your rate of improvement.
9. Indemnification
You agree to indemnify and hold harmless Meter, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.
10. Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Service will immediately cease.
11. Data Retention
We may retain your User Content and account data for as long as necessary to provide the Service, comply with legal obligations, resolve disputes, and enforce our agreements. You may request deletion of your data by contacting us at quincy@practicemeter.com.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States and the state in which Meter operates, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
13. Changes to Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
14. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Meter regarding the Service and supersede all prior agreements and understandings.
